Notice to the Market

Recife, December 18, 2020, Ser Educacional (B3 SEER3), one of Brazil’s largest private education groups and the leader in the Northeast and North regions, pursuant to Law 6,404/1976 and CVM Instruction 358/2002, hereby informs its shareholders and the market in general that, today, the Company concluded the acquisition of the Beduka portal (, a start-up providing online support for students seeking higher education.

Created in late 2017 by partners William Valadão and Julian Anderson, in the city of Belo Horizonte (MG), the portal aims at helping students start higher education with confidence of having made their best choice. To achieve this objective, it offers students three intuitive tools: career test, search tool for programs and ENEM preparation courses.

The portal has grown rapidly since its creation and during the student intake season for the second half of 2020, it had more than 800,000 visits to its website (single accesses), becoming one of the main portals in its segment.

According to Jânyo Diniz, Ser Educacional’s CEO, "We see a substantial increase in the volume and share of enrollments via social media due to digital marketing strategies implemented in recent years in the higher education market for on-campus and distance learning courses. The intake season for the first half of 2021 will have Beduka as a platform that creates value for students, helping them choose courses that best fit their career aspirations in an efficient and wise manner, which is in line with our strategy of offering an increasingly attractive value proposal for them, with our unique experience in the market."

As part of Grupo Ser Educacional, Beduka will play a significant role to attract students to our courses, offering them distinguished solutions and search portal technology so they can make better education decisions.

According to Joaldo Diniz, Ser Educacional’s Innovation and Services Officer, "Beduka uses the ‘Elasticsearch’ search engine. It is a highly technological tool to search and analyze all types of distributed data, including texts, numbers, geospatial and structured and unstructured data. The mechanism is used by the world’s big tech companies and will help Ser Educacional improve its commercial platform more quickly and in line with our principles."

As part of the transaction structure, Edtech’s founding partners will become Ser Educacional executives and will focus on the digital platform strategic development and the design of new products.

"These professionals will be important to improve GoKursos (, our education marketplace that began operating in April 2020, as well as other new features that we will implement on this platform. We will use this technology to increase our offer of digital courses, which has been fundamental to expand our student base in the distance learning segment," Joaldo added.

The Transaction is subject to compliance with certain conditions precedent that are commonly required in these types of transactions and will be concluded as soon as these conditions are met. Because the Transaction was carried out through a subsidiary of Ser Educacional S.A., article 256 of Brazilian Corporation Law shall not apply, and therefore the Company‘s shareholders will not be entitled to a right of withdrawal.
