Expected Impact by Provisional Measure # 741

Recife, July 15, 2016 - Ser Educacional S.A. (BM&FBOVESPA SEER3, Bloomberg SEER3:BZ and Reuters SEER3.SA), one of the largest private higher education groups in Brazil and the leader in the Northeast and North of the country, informs that today, the Federal Government published the Provisional Measure # 741 ( "MP 741" ) amending the 10,260 law of July 12, 2001, which provides for the Financing Fund for Higher Education Student ( FIES ) and in turn requires the educational institutions an additional deduction of 2% to be passed on directly to financial agents.

Based on information published on the MP 741, the Company estimates a negative impact on its operating results before taxes of up to R$ 6 million in 2016. As soon as any new information or clarification is disclosed, the Company will release a new statement revising this estimate.

Considering the current volume of new Student Funding (FIES) granted by the government during the year of 2015 and 2016, the expected impact will be reduced due to the graduation of FIES students currently enrolled in the Company and due to the new enrollments of non-FIES students, given Ser Educacional‘s organic growth plan, with new courses and new units to be opened in the next years.

This estimate does not consider any mitigating effects from optimizations of operating income and expenses efforts.

The Company believes that the success of Brazilian higher education involves a competitive private sector on equal conditions with clear and sustainable regulation.

Ser Educacional contributes to the sector bringing its unique value proposition to the student that combines academic quality offered in prime locations in quality infrastructure, by brands strongly recognized by the society and the labor market at competitive prices.

In this sense, and aware of the objectives of the National Education Plan, the Company is in contact the associations representing the sector to pursue the necessary dialogue in order to find a long-term understanding to the issue of private student loans in Brazil.
