Ser Educacional announces the acquisition of FAMIL with units in Fortaleza and Parnamirim

Recife, June 30, 2015 - Ser Educacional S.A (BM&FBOVESPA: SEER3), one of the largest private education groups in Brazil and a leader in the Northeast and North regions in terms of number of students enrolled, announces that it entered today into a Contract for the Purchase and Sale of Shares and Other Covenants, through its subsidiary CENESUP - Centro Nacional de Ensino Superior, LTDA, for the acquisition of 100% of the capital stock of Sociedade Universitária Mileto LTDA, the controlling company of Faculdade Talles de Mileto ("FAMIL").

FAMIL has approximately 350 students in two units, one in Fortaleza, capital of Ceará state, which offers biomedicine, nursing, pharmacy and psychology undergraduate courses, and the other unit in the city of Parnamirim, Rio Grande do Norte state, offering nursing and social worker courses.
Fortaleza unit was accredited in May 2015 and the Parnamirim unit, in May 2014. Both units have institutional concepts from the Ministry of Education (MEC), being in Fortaleza, concept 4 and in Parnamirim 3. The Fortaleza courses have granted course concept (CC) grade 3, and those in the Parnamirim granted course concept (CC) grade 4.

Fortaleza, the capital of Ceará state, has approximately 2.5 million inhabitants, and is the capital with the second highest population in the Northeast and North regions of Brazil, with high demographic density. The city also has the highest GDP in the Northeast region, standing as the 10th in the ranking of the Brazilian cities, according the Brazilian Institute of Geography and Statistics (IBGE).

Parnamirim has approximately 215,000 inhabitants and is going through a strong economic growth phase, having become an extension of Natal, Rio Grande do Norte state capital, which in turn has approximately 862,000 inhabitants, where the Company already has a unit of Faculdade Mauricio de Nassau. Parnamirim is the state’s third largest economy, only falling behind the capital, Natal, and Mossoró, and was the city with the highest economic growth in the state between 1999 and 2012, according to the IBGE, mainly due to the growth of the flat rolled steel and plastic tubing, clothing and real estate industries.

The Company already has units of Mauricio de Nassau College in Fortaleza and Natal, it intends to open units under the Joaquim Nabuco brand, as these units are located in regions of high population density and income more compatible with the profile of students of this brand and with this acquisition. After this transaction, Grupo Ser Educacional’s portfolio will expand to 37 post-secondary units in 12 states in 25 cities in Brazil’s Northeast, North and Southeast regions.

The agreement envisages a total payment of six million reais (R$6,000,000.00), of which approximately three million and nine hundred thousand reais (R$3,900,000.00) to be paid in up to 15 days as of the closing date, in addition to three half-yearly installments as of the closing, totaling approximately four hundred thousand reais (R$400,000.00) and the last installment of nine hundred thousand reais (R$900,000.00) to be paid in August, 2017, subtracting all debt and/or contingencies calculated and subject to retention and adjusted by IGP-M inflation rate.

Given that the acquisition will be concluded through a Company subsidiary, the Company’s management informs its shareholders, the market in general and other stakeholders that article 256 of the Brazilian Corporation Law does not apply to this specific case and, therefore, there will be no right to withdrawal.
