Material Fact

Recife, December 23, 2013 - Ser Educacional S.A (BM&FBOVESPA: SEER3), the largest private post-secondary educational institution in the Northeast and North of Brazil, pursuant to Article 157, paragraph 4 of Law 6404 of December 15, 1976, as amended ("Corporate Law"), and CVM Instruction 358 of January 3, 2002, as amended, hereby announces that, on December 23, 2013, the Ministry of Education - MEC published in the Diário Oficial da União Ordinance 1239 of December 20, 2013, which authorizes Ser Educacional’s university center, UNINASSAU - Centro Universitário Maurício de Nassau, to offer Distance Learning courses nationally.

The Company’s Distance Learning program was approved by the MEC with scores of 4 and 5 on accreditation and in all the Centers (scores of 1 to 5). Initially, 18 courses will be offered, with 36,000 places, in six states in the Northeast of Brazil: Pernambuco, Paraíba, Alagoas, Rio Grande do Norte, Bahia and Ceará.

UNINASSAU will use a platform allowing students to follow the courses on-line at any time, reducing the need for their physical presence at the Presence Support Center and allowing them to better plan their academic activities, reconciling them with their other day-to-day activities.

The distance learning course technology is already installed and has been fine-tuned by the Company since 2007 by offering distance learning courses and activities to on-campus students.

The Brazilian distance learning segment is undergoing strong growth, given its attractive prices and greater convenience, attracting students with less purchasing power living outside the main urban centers. In addition to reducing installation and faculty costs, the new segment opens up a market hitherto unexplored by Ser Educacional. With this new modality, which begins in the first semester of 2014, Grupo Ser will be positioned as a regional player in the distance learning market, in line with its strategy of focusing on growth in the North and Northeast, and aims to achieve nationwide status. Ser Educacional believes that the recognition of the "UNINASSAU" and "Mauricio de Nassau" brands will provide its distance learning program growth with strength and sustainability.

Finally, the Company would like to emphasize that on-campus education remains its main area of operations and that it will receive solid expansion investments, taking advantage of the opportunities arising from the National Education Plan (PNE). The PNE, approved recently by the Federal Senate, establishes educational goals and strategies for the next ten years, allowing the budget for the area, approved at 10% of Brazilian GDP, to strengthen programs such as ProUni (University for All Program) and the FIES (Student Financing Fund).
